1. Statutory and Regulatory Compliance

• Ensure the company complies with local laws, corporate regulations, and reporting requirements.
• Oversee timely filing of annual returns, tax submissions, and corporate statutory documents.
• Maintain and safeguard statutory registers, licenses, and corporate records.

2. Corporate Governance

• Attend board meetings and participate in key corporate decisions.
• Review, approve, and sign board resolutions, contracts, and government submissions.
• Oversee risk management, internal controls, and regulatory adherence.

3. Fiduciary and Ethical Duties

• Act in the best interest of the company, exercising due care and diligence.
• Avoid conflicts of interest and disclose potential conflicts promptly.
• Uphold confidentiality and protect sensitive company information.

4. Representation and Liaison

• Represent the company in dealings with government agencies, regulators, and banks.
• Serve as local resident director if required by law.
• Coordinate with shareholders, legal counsel, and company officers on compliance matters.

5. Financial Oversight

• Review and monitor financial statements, tax matters, and fiscal compliance.
• Ensure the company does not engage in fraudulent, illegal, or non-compliant activities.
• Provide oversight to prevent the company from operating while insolvent.

6. Documentation and Approvals

• Sign official documents such as annual filings, resolutions, and banking paperwork.
• Verify the accuracy and legitimacy of documents prior to approval.

Qualifications & Requirements

Education & Experience

• Bachelor’s degree in Business, Law, Finance, or related field (preferred).
• Prior experience as a director, corporate officer, or compliance professional is an advantage.
• Strong understanding of local corporate laws and regulatory frameworks.
