POSITION TITLE: Head of Legal Counsel
WORK LOCATION: Eastwood City, Libis, Quezon City (On-site)
SALARY RANGE: PHP 180,000 (Fixed)
EMPLOYMENT STATUS: Full-time | Day Shift
ABOUT THE ROLE:
The Head of Legal Counsel will lead the legal department, providing strategic legal counsel to the organization and ensuring compliance with applicable laws and regulations. This pivotal role involves managing legal risks, advising on corporate governance, negotiating contracts, and overseeing litigation matters. The Legal Counsel will collaborate with senior leadership to align legal strategies with business objectives and safeguard the company's interests, ideally bringing experience from the financial services or technology industry.
ROLES AND RESPONSIBILITIES:
Strategic Legal Leadership & Risk Management:
Develop and implement legal strategies to support business goals while minimizing risk.
Advise senior leadership on corporate governance, compliance, and regulatory matters.
Monitor and interpret new laws, regulations, and industry developments, ensuring the company remains compliant.
Identify, assess, and manage legal risks across the organization.
Develop policies and procedures to mitigate risks and enhance internal controls.
Corporate Governance & Contract Management:
Ensure the company’s compliance with corporate governance standards and best practices.
Provide counsel on board matters, shareholder agreements, and related corporate issues.
Review, draft, and negotiate contracts, agreements, and legal documents to protect the company’s interests.
Oversee the maintenance of a centralized contract repository for efficient management and tracking.
Litigation and Leadership:
Manage and oversee litigation, arbitration, and other dispute resolution matters, coordinating with external counsel as necessary.
Lead, mentor, and manage the legal team, fostering a culture of excellence and collaboration.
Collaborate with external regulatory bodies, law firms, and key stakeholders, serving as the primary point of contact for legal and compliance-related inquiries.
QUALIFICATIONS:
Education: Juris Doctor (JD) degree or equivalent. Admission to the Bar is required.
Experience: Minimum of 10 years of progressive legal experience.
Industry Focus: Experience in corporate, commercial, or regulatory law, ideally within the financial services or technology industry.
